Acceptance of Terms

By accessing and using the services of Premium E-Commerce Studio ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

We provide Razorpay® checkout optimisation services, including checkout audits, flow optimisation, and scale architecture consulting. The specific scope, deliverables, and timelines for each engagement are defined in the applicable service agreement or statement of work.

Payments

Payment terms are specified in each service agreement. Unless otherwise stated, all fees are due in advance of service delivery. We accept bank transfer, UPI, and Razorpay® payment links. Late payments may incur a 1.5% monthly interest charge.

Intellectual Property

All deliverables produced specifically for you during an engagement become your property upon full payment. We retain ownership of our general methodologies, tools, and know-how. We may reference anonymised case studies and aggregate metrics in our marketing materials.

Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This includes business strategies, technical implementations, and performance metrics. This obligation survives termination of the agreement for a period of two years.

Warranties

We warrant that our services will be performed in a professional and workmanlike manner. For the Optimise and Scale tiers, we target a minimum 20% improvement in checkout completion rate based on historical outcomes. Results may vary depending on implementation and market conditions.

Limitation of Liability

Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Termination

Either party may terminate the agreement with 30 days written notice. For the Scale tier, termination requires 90 days written notice. Upon termination, you pay for all services rendered up to the termination date.

Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved in the courts of Bangalore, Karnataka. Both parties agree to attempt to resolve disputes through good faith negotiation before pursuing legal remedies.
